Notice is hereby given that on Wednesday, May 25, 2022, a public hearing, which may be continued or adjourned, will be held via toll-free telephone conference by ɫҹ University, Ohio (the “University”), commencing at 3:00 p.m. local time with respect to the proposed issuance by the University of General Receipts Bonds, Series 2022 (the “Series 2022 Bonds”) as part of a plan of finance in one or more series which may be issued on the same or different dates in an aggregate principal face amount not to exceed $55,000,000. The Series 2022 Bonds will be issued pursuant to Sections 3345.11, 3345.12 and 9.98 through 9.983 of the Ohio Revised Code (collectively, the “Act”), in connection with a plan of finance for the benefit of the University. A portion of the Series 2022 Bonds in the aggregate principal face amount not to exceed $15,000,000 will be issued as qualified 501(c)(3) bonds under Section 145 of the Internal Revenue Code of 1986, as amended, and such portion of the Series 2022 Bonds will be used to finance and refinance costs of the acquisition, construction, reconstruction, rehabilitation, furnishing and equipping of “facilities” as defined in Revised Code Section 3345.12(A)(6) of the Act, consisting of the University’s Center for Philanthropy and Alumni Engagement building and building site (“UCPAE Facilities”), including all related costs constituting “costs of facilities” as defined in Revised Code Section 3345.12(A)(10) of the Act.
The UCP Facilities are located at 350 S. Lincoln Street, Kent, Ohio.
The initial legal owner of the UCPAE Facilities is the University, and the principal users of the UCPAE Facilities are the University and the ɫҹ University Foundation, Inc., an Ohio non-profit corporation.
Persons wishing to express their views on the proposed Series 2022 Bonds may participate in the hearing via teleconference or submit their views in writing regarding the proposed Series 2022 Bonds and the location and nature of the proposed facilities to be financed.
